Terms of Service

Please read these terms carefully. They contain disclaimers, limitations of liability, and an indemnification clause. By using AdsMCP, you agree to these terms.

1. Acceptance

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and Marketing Panda Pty Ltd, operating AdsMCP (“AdsMCP”, “we”, “us”). By creating an account or using the service, you accept these Terms and our Privacy Policy. If you do not agree, do not use AdsMCP.

2. Eligibility

  • You must be at least 18 years old.
  • You must have the legal authority to bind any business entity you represent.
  • You must operate a legitimate business and use AdsMCP for lawful purposes only.
  • You must have valid authorisation to access any Google Ads, Google Analytics, or Google Tag Manager accounts you connect.

3. The Service

AdsMCP is a hosted Model Context Protocol (MCP) server that allows AI clients (such as Claude Desktop, Cursor, or similar) to query data from your connected Google Ads, GA4, and GTM accounts.

The service is provided “as is” and “as available”. We make no representations or warranties about the accuracy, completeness, timeliness, or reliability of any data returned. All data originates from Google’s APIs; AdsMCP is a conduit and is not responsible for Google’s data quality or availability.

4. Your Responsibilities

You are solely responsible for:

  • The security of your account credentials, Google OAuth grants, and AdsMCP API keys.
  • All activity that occurs under your account or via your API keys.
  • Compliance with Google’s Terms of Service, Google Ads policies, and any other third-party platform terms.
  • All business decisions, advertising spend, campaign changes, or strategy adjustments made based on information obtained through AdsMCP. We are not your advertising agency, financial adviser, or business consultant.
  • Verifying the accuracy of any data, recommendation, or analysis before acting on it. AI-generated outputs may be incorrect, misleading, or incomplete.
  • Maintaining your own backups of any data important to you.
  • Complying with all applicable laws in your jurisdiction, including consumer protection, privacy, and advertising laws.

5. Acceptable Use

You must NOT:

  • Use AdsMCP for illegal, fraudulent, deceptive, or harmful purposes.
  • Attempt to access accounts, data, or systems you are not authorised to access.
  • Reverse engineer, decompile, scrape, or attempt to extract source code.
  • Circumvent rate limits, authentication, or security measures.
  • Resell, sublicense, or white-label the service without a separate written agreement.
  • Use AdsMCP in a way that violates Google’s API Terms of Service or any third-party terms.
  • Submit malicious code, conduct denial-of-service attacks, or interfere with the service’s integrity.

We may suspend or terminate accounts that violate these rules without prior notice and without refund.

6. Subscriptions, Trial, and Payment

  • AdsMCP is offered on monthly subscription plans. Current pricing is shown on our website and may change with 30 days’ notice.
  • New users may be offered a free trial period (e.g. seven days) at our discretion. A valid payment method is required to start a trial.
  • You authorise us (via Stripe) to charge your payment method automatically at the end of any trial period and on each subsequent renewal until you cancel.
  • You can cancel at any time from your billing page. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • All fees are non-refundable. We do not offer pro-rata refunds for partial billing periods, unused features, or accidental renewals.
  • If payment fails, we may suspend access until payment is resolved. Repeated payment failures may result in termination.
  • You are responsible for any taxes, levies, or duties applicable in your jurisdiction.

7. Intellectual Property

AdsMCP, including all software, documentation, branding, and design, is the exclusive property of Marketing Panda Pty Ltd. You receive a limited, non-exclusive, non-transferable, revocable licence to use the service per these Terms.

You retain ownership of your data. By using AdsMCP, you grant us a limited licence to process your data solely to provide the service.

8. Disclaimers and No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, ADSMCP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We expressly disclaim, to the maximum extent permitted by law:

  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement.
  • Any guarantee of accuracy, completeness, or timeliness of any data, report, recommendation, or AI-generated output.
  • Any guarantee of uptime, availability, error-free operation, or freedom from security incidents.
  • Any guarantee of specific business results, return on advertising spend, lead volume, conversion rates, or commercial outcomes.
  • Responsibility for any actions you, your employees, or your AI clients take based on output from AdsMCP.

Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law. Where a right under the Australian Consumer Law applies and cannot be excluded, our liability is limited (where permitted) to the resupply of the service or payment of the cost of resupply, at our option.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MARKETING PANDA PTY LTD OR ITS DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Lost profits, lost revenue, lost data, business interruption, lost opportunity, or wasted advertising spend.
  • Decisions made by AI clients or human operators using data returned by AdsMCP.
  • Outages, errors, or data inaccuracies originating from Google APIs, third-party processors, or your own infrastructure.

Our total aggregate liability for any claim arising out of or relating to AdsMCP shall not exceed the greater of (a) AUD 100, or (b) the total fees you have paid to us in the three (3) months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the form of action (contract, tort, statute, or otherwise), and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Marketing Panda Pty Ltd, its officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use or misuse of AdsMCP.
  • Your breach of these Terms or our Privacy Policy.
  • Your violation of any applicable law or third-party rights (including Google’s API Terms of Service).
  • Any business or financial decisions you, your employees, or your AI tools make based on AdsMCP output.
  • Any unauthorised access to your account caused by your failure to secure credentials.

11. AI Tool Disclaimer

AdsMCP exposes data to AI assistants under your control. AI assistants may produce inaccurate, biased, or harmful outputs. You are responsible for reviewing all AI-generated output before acting on it. We make no warranty regarding any AI client’s behaviour or output and accept no liability for actions taken on the basis of AI-generated advice.

12. Termination

  • You may cancel your subscription at any time from the billing page.
  • We may suspend or terminate your account immediately, without notice or refund, for breach of these Terms or any conduct we reasonably consider harmful to AdsMCP, other users, or third parties.
  • Upon termination, your right to access AdsMCP ceases. Sections covering disclaimers, liability, indemnification, and intellectual property survive termination.

13. Modifications to the Terms or Service

We may modify these Terms at any time. Material changes will be notified by email to your account address at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance.

We may modify, suspend, or discontinue any feature of AdsMCP at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

14. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.

Before commencing legal action, you agree to first contact us at hello@adsmcp.io and attempt good-faith resolution. We will respond within 30 days.

15. General

  • Entire Agreement: these Terms plus the Privacy Policy are the entire agreement between us.
  • Severability: if any provision is found unenforceable, the rest remains in force.
  • No Waiver: our failure to enforce a provision is not a waiver.
  • Assignment: you may not assign these Terms without our written consent. We may assign without restriction.
  • No Agency: nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
  • Force Majeure: we are not liable for delays or failures caused by events beyond our reasonable control.
